How The Owner Of JDate And Christian Mingle Lost At The Business Of Love

Spark Networks, owner of JDate, Christian Mingle, and other dating websites, is facing a fierce activist campaign by the hedge fund Osmium Partners, which is looking to unseat the board and force a sale of the troubled company.

If love is a battlefield, then Spark Networks, owner of JDate, Christian Mingle, and a handful of other niche dating sites, is about to get its heart broken.

Osmium Partners is almost certain to win the four board seats it is gunning for when Spark holds its annual shareholder meeting next week, sources familiar with the situation said, allowing the activist hedge fund to take control and force a sale of the company. Originally scheduled for June 17, Spark has already delayed the annual meeting until June 28, a move these sources said is aimed at buying Spark more time to rally shareholders to vote down Osmium's proposal or preempt a forced sale by securing its own buyout offer.

A representative for Spark, which trades under the "LOV" stock ticker, declined to comment.

Osmium, which owns 15% of Spark, launched its proxy battle in December 2013, citing what it claims are Spark's poor corporate governance, compensation concerns, and declining stock price. The hedge fund also alleges that Spark has mismanaged JDate, its "crown jewel," and that its Christian networks have been underperforming relative to their online dating peers.

At a per share price of around $5, a nearly 50% decline in less than a year, the market and shareholders appear to have fallen out of love with "LOV." As Osmium waits to see whether voters will think its four board nominees are a match, here's a look at some of the hedge fund's other gripes with Spark, based on a presentation it gave to shareholders in May:

Osmium Partners

Osmium said in its presentation that Spark has failed to rebrand JDate, which, along with Christian Mingle, has accounted for 95% of the company's revenue since its inception 17 years ago. Spark only got around to rebranding JDate in this year's first quarter, and its Chairman and CEO Greg Liberman even conceded to this failure on its first quarter 2014 earnings call, where it reported its slowest subscriber numbers since 2006.

What's more, the marketing of the JDate rebranding, and for Christian Mingle, has fallen short and the company's spending on these endeavors has had dire repercussions, according to Osmium.

"Spark's 'media strategy' is an unproven and immaterial distraction from the Company's core, high-margin paid dating business," Osmium wrote in its presentation. "These distractions outside the scalable core business have led to $29.4 million in fixed overhead supported by just $69 million in revenue. [This] has resulted in Spark generating revenue per employee that is 71% lower than competitors Match.com, eHarmony and Zoosk."

The oddly inert big screen adaptation could be the start of a whole new genre: the musical that doesn’t want to be one.

It's possible that no movie about music has ever treated its songs with more indifference than Clint Eastwood's Jersey Boys, which opens in theaters this Friday. It feels embarrassed of its own genre, which is doubly weird given that the film is an adaptation of the hit Broadway jukebox musical of the same name, a telling of the rise of Frankie Valli and the Four Seasons as constructed around the group's biggest hits.

The songs should be the heart of the damn thing, but on screen, the signature tunes have been broken up or shrunken down to hurried performances that also often serve as montages to whisk the story along. And the numbers have all been folded into the action — they're never anything but realistic, whether they're part of a performance on The Ed Sullivan Show, a recording session, or a spur-of-the-moment audition. It's the least joyous sort of musical imaginable — one that's convinced that what you really want is to get back to the talking.

As one of cinema's great growlers, Eastwood's never been the most effusive guy, either behind or in front of the camera. So, he's not an expected choice when it comes to helming a musical, but he's no stranger to music, either. He directed himself as a western singer in 1982's Honkytonk Man, and made the Charlie Parker biopic Bird a few years later. And in his side career as a musician, he and Merle Haggard even had a No. 1 country hit. But this version of Jersey Boys misses the point in such a fundamental way that it's actually kind of fascinating.

Eastwood treats Jersey Boys like a straightforward, gritty biopic about four talented Italian American kids from a tough New Jersey neighborhood. But the screenplay, which is adapted by original writers Marshall Brickman and Rick Elice, is still scripted like a musical, even if the end product tries to extinguish any glimmer of razzle-dazzle. Big events are skimmed over in cursory fashion (one character's daughter is basically introduced in order to die), and characters talk to the camera and speak like they're in a gaudy, exuberant stage production.

"Ya got a nickel? Call your mother. You're gonna be home late," says sultry Mary Delgado (Renée Marino) on her first date with young Frankie (John Lloyd Young). In the next scene, they're getting married while Tommy DeVito (Vincent Piazza, the clear standout and the only one of four leads to not come from one of the stage productions) delivers his thoughts on matrimony from behind the wheel of a nearby car. After that, Mary only appears to drunkenly scream at Frankie about his failures as a father, a shrewish caricature.

Goodfellas it's not, but that's basically the treatment Eastwood tries to give Jersey Boys. It's like taking Chicago and shooting it like Orange Is The New Black — the subdued approach only emphasizes how stylized the material is. And this approach leads to the regrettable downplaying of some musical moments that should have been sparkling, like "Walk Like A Man," which ends up sandwiched between a stage performance of "Big Girls Don't Cry" and a Christmas party. Meanwhile, the intro to "Sherry" is sung into a phone.

This might be the worst week to work with Terry Richardson. But no one told Alan Cumming that.

On Sunday night, New York published a cover story on the fashion photographer, who for years has been accused of coercing models into performing sexual acts on him, or allowing him to perform sexual acts on them.

The profile enraged many longtime Richardson critics, who argued the piece downplayed the voices of his alleged victims. Models interviewed in the piece reached out to BuzzFeed and The Guardian, reminding the world of their alleged encounters with Richardson. Another woman made new accusations on Jezebel. On Thursday, TMZ published a clip from a never-released Richardson-directed video for Lady Gaga's "Do What U Want," which one Page Six source described as "literally an ad for rape."

So when Alan Cumming — the beloved Scottish-American star of Broadway's Cabaret and CBS' The Good Wife — tweeted an image of himself with Richardson later on Thursday, many expressed disappointment in him and Harper's Bazaar — which has become a safe haven in the fashion world for Richardson.
